Corporate paralegal for more than 20 years. Proficient in formations, compliance and maintenance of entities. Excel in the area of entities because of my enjoyment of the work. I have worked with the top ten percent income bracket clients in Arizona and other states. I have formed and maintained compliance for corporations, LLCs, LLLPs, LLPs, LPs, and general partnerships. I have worked with very large national companies, privately held family businesses, as well as charitable organizations and non-profits. I have a strong knowledge of corporations, limited liability companies, and partnership, from formation through annual compliance. Drafting and filing of all necessary documents (both organizational and annual) with the Arizona Corporation Commission and the Secretary of State as well as all governing documents, whether Operating Agreements, By-Laws, Stock Issuance or Partnership Agreements, Annual Minutes; Consents (Resolutions) in Lieu; Special Minutes; Amendments, and maintenance of corporate record book and stock ledger. Preparation and filing of various forms of Deeds and Deeds of Trust; Tradename and Trademark applications. Ability to work independently and with a team. Very strong work ethic. Attention to detail and great client rapport. I am eager to assist and learn but I can take charge. I also enjoy learning new things.
