Finance Associate Attorney (Lender-Side Finance)
Location: Boston, MA
Compensation: $260,000–$365,000

Direct Counsel is seeking a Finance Associate to join the Finance Practice of a leading international law firm in Boston. This opportunity is ideal for an attorney with 3–5 years of lender-side finance experience who is looking to represent banks, private credit funds, and other financial institutions in sophisticated commercial lending transactions.

The ideal candidate has experience representing lenders in single-lender and syndicated credit facilities and enjoys working on complex financing transactions involving private equity and venture capital clients.

Responsibilities
  • Represent banks, private credit funds, and other financial institutions in commercial lending transactions.
  • Advise lenders on single-lender and syndicated credit facilities involving private equity funds, venture capital funds, management companies, general partners, and portfolio companies.
  • Draft, review, and negotiate credit agreements, security agreements, guaranties, collateral documents, pledge agreements, intercreditor agreements, and related financing documentation.
  • Handle financing transactions involving venture debt, acquisition finance, asset-based lending, second lien financing, mezzanine financing, and other commercial lending structures.
  • Manage multiple financing transactions simultaneously from initial structuring through closing.
  • Conduct legal due diligence and coordinate transaction workstreams with multidisciplinary deal teams.
  • Build and maintain strong client relationships while delivering practical, business-focused legal advice.
  • Collaborate with attorneys across corporate, private equity, tax, and other practice groups to provide comprehensive financing solutions.
Qualifications
  • J.D. from an ABA-accredited law school with strong academic credentials.
  • 3–5 years of commercial lending experience at a leading law firm.
  • Experience representing banks, private credit funds, and other financial institutions in lender-side financing transactions.
  • Significant experience drafting and negotiating commercial lending documentation.
  • Experience with syndicated lending, venture debt, acquisition finance, asset-based lending, second lien, or mezzanine financing preferred.
  • Excellent drafting, analytical, negotiation, and project management skills.
  • Strong written, verbal, and interpersonal communication abilities.
  • Active membership in the Massachusetts Bar.
Compensation & Benefits
  • Competitive base salary of $260,000–$365,000, depending on experience.
